Cancellation and Refund Policy

This Cancellation and Refund Policy governs subscriptions and payments made for Clean ERP software and related services (“Services”) provided by Clean ERP (“Company”, “we”, “our”, or “us”).
1. Subscription Billing
Clean ERP operates on a subscription-based billing model. Subscription fees are charged in advance on a monthly, quarterly, annual, or other billing cycle selected by the customer at the time of purchase.
By subscribing to the Services, the customer authorizes Clean ERP to charge the applicable subscription fees for the selected billing period.
2. Cancellation Policy
Customers may cancel their subscription at any time through their account settings or by contacting Clean ERP support.
However:
- Subscription cancellations become effective only at the end of the current billing period.
- Customers cannot cancel a subscription for the current month after the billing period has started.
- To prevent renewal for the following month, cancellation requests must be submitted before the first day of the next billing cycle.
- No partial-month cancellations are permitted.
- No pro-rata adjustments or credits will be provided for unused portions of any billing period.
For example, if a monthly subscription is active for June, cancellation requested during June will not result in cancellation for June. The subscription will remain active until the end of the current billing period and will not renew for the subsequent billing period if cancellation was properly requested before the renewal date.
3. Refund Policy
All subscription fees paid to Clean ERP are non-refundable.
Without limiting the foregoing:
- No refunds will be issued for the current billing period once payment has been processed.
- No refunds will be issued for unused Services.
- No refunds will be issued due to customer inactivity, non-usage, change of business requirements, employee turnover, or customer dissatisfaction where the Services are available as contracted.
- No partial refunds, credits, or prorated reimbursements will be provided for cancellations made during an active billing cycle.
Any exceptions to this policy shall be made solely at the Company’s discretion and shall not create any obligation to provide similar refunds in future cases.
4. Service Availability
Clean ERP strives to provide reliable and uninterrupted access to the Services and aims to maintain service availability twenty-four (24) hours per day, seven (7) days per week.
The Company continuously works to:
- Minimize service interruptions;
- Perform maintenance with minimal disruption;
- Improve platform reliability and security;
- Restore services promptly in the event of outages.
However, the Services are provided on a commercially reasonable efforts basis, and uninterrupted or error-free operation cannot be guaranteed.
Service interruptions may occur due to:
- Scheduled maintenance;
- Emergency maintenance;
- Internet service disruptions;
- Cloud infrastructure failures;
- Third-party service provider issues;
- Cybersecurity incidents;
- Force majeure events; or
- Circumstances beyond the Company’s reasonable control.
5. Limitation of Liability for Service Interruptions
Customers acknowledge that they are responsible for determining whether the Services are suitable for their business requirements.
Clean ERP shall not be liable for:
- Loss of revenue;
- Loss of profits;
- Loss of business opportunities;
- Loss of customers;
- Loss of goodwill;
- Loss of data resulting from customer actions or third-party actions;
- Indirect, incidental, consequential, special, exemplary, or punitive damages.
To the maximum extent permitted by applicable law:
Paid Subscribers
In the event Clean ERP is found liable for any claim arising out of or relating to the Services, the Company’s total aggregate liability shall not exceed the subscription fees actually paid by the customer for one (1) month immediately preceding the event giving rise to the claim.
Free Users
Users accessing the Services under any free plan, trial plan, promotional plan, or free-tier offering shall not be entitled to any monetary compensation, reimbursement, damages, credits, or payments of any kind arising from service interruptions, outages, errors, data loss, or unavailability of the Services.
Use of free Services is entirely at the user’s own risk.
6. Customer Responsibility
Customers are encouraged to:
- Maintain independent backups of critical business data;
- Verify information before making business decisions;
- Implement appropriate business continuity procedures;
- Evaluate whether the Services meet their operational requirements.
Clean ERP shall not be responsible for losses resulting from a customer’s failure to maintain adequate backup, recovery, or contingency processes.
7. Policy Changes
Clean ERP reserves the right to modify this Cancellation and Refund Policy at any time. Updated versions will be posted on the Company’s website and will become effective upon publication unless otherwise stated.
Continued use of the Services after such updates constitutes acceptance of the revised policy.
